Important Minnesota Laws Regarding Board Members and Officers

The following titles may be used interchangeably: President, CEO, Executive Director.

Can the President serve as the Chairperson of the Board of Directors? Yes.

Who is the Chairperson? The person who runs the Board of Director meetings.

The president is not be a voting member on the board, but will be able to speak at the meetings.

 

Minnesota Law:

Requires three board members minimum

Requires the offices of President and Treasurer only.

Allows one person to hold multiple offices.

Requires there be at least one meeting a year of the Directors.

Requires the majority of the directors be adults.

Allows remote participation in board meetings. In other words, a board member is counted as present if on a phone, Skype, etc., even if not in the physical location of the meeting.
